Mateusz Korteweg has been affiliated with “Prokurent” law firm since 2011, pursuing his work experience placement during that he had been working with many cases from criminal law, civil law and administrative law. Edyta Wereszczyńska has also experience developing optimisation of employment in a company. Legitymowanie

Ustawa o Policji przyznaje policjantom uprawnienie legitymowania osób w celu ustalenia ich tożsamości (art. 16 ust. 1 pkt. 1 ustawy). Nie istnieją szczególne przyczyny, od których zaistnienia zależy możliwość skorzystania z uprawnienia do wylegitymowania osoby. Policja po prostu ma takie uprawnienie i należy podporządkować się żądaniu przedstawienia policjantowi dokumentu tożsamości.

Dokumentem tożsamości może być dowód osobisty, paszport, zagraniczny dokument tożsamości, a także każdy inny nie budzący wątpliwości dokument zaopatrzony w fotografię i oznaczony numerem lub serią. Dokumentem wystarczającym powinna być też legitymacja szkolna lub studencka. W przypadku braku dokumentu tożsamości wystarczy, aby inna osoba (np. kolega) podała dane osoby legitymowanej i sama okazała swój dowód tożsamości (§ 4 pkt. 1-5 rozporządzenia Rady Ministrów w sprawie sposobu postępowania przy wykonywaniu niektórych uprawnień policjantów, dalej: rozporządzenie w sprawie wykonywania uprawnień policjantów).

Uwaga: Jeżeli pomimo posiadania dokumentu tożsamości (lub w przypadku nieposiadania – obecności osoby, mogącej zaświadczyć o tożsamości legitymowanego i posiadającej dowód tożsamości) policja chce zawieźć Cię na komendę, należy odmówić i zagrozić złożeniem skargi, a jeśli policja nie zrezygnuje ze swoich zamiarów, uznać działanie policji za bezprawne zatrzymanie. Podstawą skargi jest art. 63 Konstytucji RP. Rozszerzenie uprawnienia do złożenia skargi znajduje się w dziale VIII Kodeksu postępowania administracyjnego. 

Jakkolwiek brak jest wskazanych przyczyn legitymowania to należy mieć na uwadze przepis, który stanowi, iż czynności funkcjonariuszy powinny być wykonywane w sposób możliwie najmniej naruszający dobra osobiste osoby, wobec której zostają podjęte (art. 15 ust. 6 ustawy o policji). Stąd należy ograniczać legitymowanie prewencyjne jedynie do sytuacji uzasadnionych, tj. takich, gdzie występuje zagrożenie dla porządku publicznego, zachodzi podejrzenie popełnienia przestępstwa lub osoba, która ma być legitymowana jest podejrzewana o popełnienie wykroczenia, przestępstwa lub zachodzi podejrzenie, że może być poszukiwana lub nielegalnie przebywać na terenie Polski.  Od policjanta należy żądać, aby podał przyczynę legitymowania, powołując się na § 2 ust.1 w/w rozporządzenia w sprawie wykonywania uprawnień policjantów; w miarę możliwości w obecności kamery.

Nadmiernym ograniczeniem dobra osobistego jakim jest wolność będzie np. długotrwałe legitymowanie, za które należy uznać czynność trwającą dłużej niż 10-15 minut. W takiej sytuacji należy poprosić policjanta o zwrot dokumentu i umożliwienie oddalenia się, powołując się na w/w art. 15 ust. 6 ustawy o policji. W przypadku odmowy powinieneś oświadczyć, iż uznajesz jego czynność za zatrzymanie i żądasz przewiezienia do jednostki policji w celu złożenia zażalenia  na zatrzymanie do Sądu. Takie żądanie może skłonić policjanta do zakończenia czynności. Należy je jednak zgłosić, gdy rzeczywiście wszystko wskazuje na to, że policjant celowo wydłuża czynność, gdyż istnieje obawa, że policjant zlekceważy Twoje ostrzeżenie i rzeczywiście przewiezie Cię na komendę.

Obowiązkiem policjanta przed rozpoczęciem legitymowanie jest podanie imienia i nazwiska oraz stanowiska służbowego w sposób umożliwiający odnotowanie tych danych, a także podstawę prawną i przyczynę podjęcia czynności służbowej. Policjant nieumundurowany ma ponadto na żądanie obywatela okazać legitymację służbową, również w sposób umożliwiający jej odnotowanie (§ 2 ust.1 i 2 w/w rozporządzenia w sprawie wykonywania uprawnień policjantów). Odmowa wylegitymowania się policjanta w sposób wyżej opisany powinna skutkować Twoją odmową okazania dokumentu tożsamości. 

Warto wiedzieć, iż dokonując legitymowania funkcjonariusz określa datę, czas, miejsce i przyczynę legitymowania (w związku z tym wymogiem należy naciskać, aby przyczyna została podana, jakkolwiek absurdalna by nie była). Poza tym policjant spisuje imię, nazwisko, adres zamieszkania lub pobytu, PESEL (w przypadku braku PESEL – datę i miejsce urodzenia, imiona rodziców i nazwisko rodowe), rodzaj i cechy dokumentu tożsamości. Coraz częściej zdarza się, że policjanci wykonują fotografie dowodów tożsamości. Należy żądać podstawy prawnej do tego typu czynności (policjant powinien wskazać na § 20 w/w rozporządzenia Rady Ministrów w sprawie sposobów postępowania). Jeśli podstawa prawna nie zostanie wskazana należy uznać czynność fotografowania za niedopuszczalną, powołując się na ochronę wizerunku osoby legitymowanej i § 7 w/w rozporządzenia w sprawie wykonywania uprawnień policjantów, określającego dane, które wpisuje do notatnika policjant. Należy także zagrozić złożeniem skargi na funkcjonariusza.

Każde niedopełnienie obowiązków lub naruszenie uprawnień przez funkcjonariuszy powinno skutkować skierowaniem przez Ciebie skargi na działanie policji, skierowanej do właściwego Komendanta Policji.

 

Zatrzymanie

Prawo zatrzymywania przysługuje nie tylko policji, ale także innym służbom, np. Żandarmerii Wojskowej, Agencji Bezpieczeństwa Wewnętrznego i Straży Granicznej.

Przesłanki zatrzymania (art. 244 § 1 Kodeksu postępowania karnego):

  • uzasadnione podejrzenie popełnienia przestępstwa i obawa ukrycia się lub zatarcia śladów przestępstwa
  • brak możliwości ustalenia tożsamości osoby
  • istnienie wobec osoby przesłanki do przeprowadzenia przeciwko niej postępowania w trybie przyspieszonym (sprawy o przestępstwa podlegające rozpoznaniu w trybie uproszczonym, tj. głównie przestępstwa zagrożone niską karą, jeżeli sprawca został ujęty na gorącym uczynku lub bezpośrednio po popełnieniu przestępstwa).

Policjant (lub członek innej służby uprawnionej do zatrzymywania) również przy zatrzymaniu jest obowiązany m.in. podać swój stopień oraz imię i nazwisko w sposób umożliwiający zanotowanie tych danych oraz oznajmić zainteresowanemu, iż jest on zatrzymany (§ 2 ust. 1 i 2 w/w rozporządzenia w sprawie wykonywania uprawnień policjantów). Funkcjonariusz powinien również uprzedzić o obowiązku podporządkowania się wydawanym poleceniom oraz możliwości użycia środków przymusu bezpośredniego w przypadku niepodporządkowania. 

Funkcjonariusz ma obowiązek poinformować zatrzymanego o przyczynach zatrzymania (w tym wskazać podstawę prawną zatrzymania, czyli art. 244 § 1 Kodeksu postępowania karnego) i przysługujących mu uprawnieniach, w tym do:

  • wniesienia w terminie 7 dni zażalenia na zatrzymanie do sądu właściwego ze względu na miejsce zatrzymania (w przypadku MN będzie to Sąd Rejonowy dla Warszawy-Śródmieścia, Wydział Karny)
  • wypowiedzenia się co do przyczyn zatrzymania
  • zawiadomienia o zatrzymaniu wskazanej osoby najbliższej oraz pracodawcy, uczelni, szkoły, itp.
  • skorzystania z pomocy adwokata, w tym do bezpośredniej z nim rozmowy
  • nawiązania kontaktu z właściwym urzędem konsularnym lub przedstawicielstwem dyplomatycznym, jeżeli zatrzymany jest cudzoziemcem.

Funkcjonariusz wysłuchuje zatrzymanego i sporządza protokół, którego kopię powinien za potwierdzeniem odbioru przekazać zatrzymanemu. Bezwzględnie nie należy przyznawać się do popełnienia jakiegokolwiek czynu, nawet w obliczu nalegań bądź gróźb ze strony funkcjonariuszy. Powtarzaj, że nic nie zrobiłeś, a zatrzymanie jest nielegalne. Żądaj przedstawienia na piśmie Twoich praw i obowiązków. Zachowaj kartkę z pouczeniem. Jeżeli doznałeś uszczerbku na zdrowiu, zażądaj pomocy medycznej. Jeśli masz jakiekolwiek wątpliwość co do treści przedstawianych Ci do podpisu dokumentów, odmów ich podpisywania, podpisanie oznaczać będzie potwierdzenie wszystkiego, co znajduje się w dokumencie.

Uwaga: jeszcze przed przesłuchaniem należy domagać się kontaktu z adwokatem, powołując się na art. 245 § 1 Kodeksu postępowania karnego. Każdy powinien mieć przy sobie zapisane imię i nazwisko oraz numer telefonu adwokata.  

Nie należy niczego podpisywać bez przestudiowania treści. Jeżeli coś się nie zgadza, należy uczynić stosowne zastrzeżenia w protokole. Pamiętaj, że każde wypowiedziane w trakcie zatrzymania lub podczas przesłuchania słowo może być użyte przeciwko Tobie.

W przypadku, gdy zatrzymanie było dokonane z naruszeniem w/w wymogów (tj. jest nielegalne), oczywiście bezzasadne lub nieprawidłowe, złóż zażalenie na zatrzymanie. Możesz także złożyć zażalenie wprost do protokołu przesłuchania. Protokół zatrzymania podpisz tylko w przypadku, gdy jesteś w 100 procentach pewien co podpisujesz i jeżeli przekazano Ci pisemnie informację o Twoich prawach i obowiązkach. 

Zażalenie wnosisz na nielegalność, bezzasadność lub nieprawidłowość zatrzymania. Nielegalność zachodzi wtedy, gdy nie było w ogóle podstaw do zatrzymania (patrz wyżej: przesłanki zatrzymania), jak i wtedy, gdy policja (lub inny organ) nie spełniła wymogów, o których mowa wyżej, np. nie pouczyła Cię o przysługujących prawach i obowiązkach lub gdy funkcjonariusz nie podał swoich danych, szczególnie wówczas, gdy tego żądałeś. Bezzasadność polega na tym, że nie było faktycznych podstaw do zatrzymania (brak rzeczywistego, obiektywnego podejrzenia popełnienia przestępstwa, brak celu w zatrzymaniu, np. wystarczające byłoby wylegitymowanie). Nieprawidłowość dotyczy sposobu działań funkcjonariuszy, np. naruszenie Twojej godności, użycie wobec Ciebie przemocy, agresji, bicie, wyzywanie, plucie, zablokowanie dostępu do pomocy medycznej, itp. W zażaleniu należy wskazać wszystkie zarzuty jakie mamy w stosunku do zatrzymania (w zakresie jego legalności, zasadności i prawidłowości)

Sąd powinien niezwłocznie rozpatrzyć zażalenie. Podstawą prawną wniesienia zażalenia jest art. 246 § 1 Kodeksu postępowania karnego. Zażalenie można także złożyć bezpośrednio do protokołu przesłuchania.

Jeżeli w ciągu 48 godzin od chwili zatrzymania zatrzymany nie zostanie przekazany do dyspozycji sądu z wnioskiem o zastosowanie tymczasowego aresztowania, powinien zostać zwolniony na polecenie sądu lub prokuratora. Zatrzymanego należy zwolnić, jeżeli w ciągu 24 godzin od przekazania go do dyspozycji sądu nie doręczono mu postanowienia o zastosowaniu wobec niego tymczasowego aresztowania (podstawa: art. 248 § 1 Kodeksu postępowania karnego oraz art. 41 Konstytucji RP).

Zatrzymanemu, którego zatrzymanie było niewątpliwie niesłuszne, przysługuje prawo do żądania stosownego odszkodowania i zadośćuczynienia, gwarantowane przez Konstytucję RP oraz Europejską Kartę Praw Człowieka.

 

Tymczasowe aresztowanie

Przesłanki stosowania tymczasowego aresztowania (art. 258 § 1 Kodeksu postępowania karnego):

  • zachodzi uzasadniona obawa ucieczki lub ukrywania się oskarżonego, zwłaszcza wtedy, gdy nie można ustalić jego tożsamości albo nie ma on w kraju stałego miejsca pobytu
  • zachodzi uzasadniona obawa, że oskarżony będzie nakłaniał do składania fałszywych zeznań lub wyjaśnień albo w inny bezprawny sposób utrudniał postępowanie karne
  • jeżeli oskarżonemu zarzuca się popełnienie zbrodni lub występku zagrożonego karą pozbawienia wolności, której górna granica wynosi co najmniej 8 lat.

Tymczasowego aresztowania nie stosuje się, jeżeli wystarczający jest inny środek zapobiegawczy. Należy odstąpić od jego stosowania również w przypadku, gdy:

  • spowodowałoby dla życia lub zdrowia podejrzanego poważne niebezpieczeństwo
  • pociągałoby wyjątkowo ciężkie skutki dla podejrzanego lub jego najbliższej rodziny.

Środka tego nie stosuje się również, gdy okoliczności sprawy wskazują, że wobec podejrzanego/oskarżonego zostanie wymierzona kara pozbawienia wolności z warunkowym zawieszeniem jej wykonania  lub łagodniejsza albo gdy tymczasowe aresztowanie przekroczy przewidywany wymiar kary bez zawieszenia (art. 259 Kodeksu postępowania karnego).

O tymczasowym aresztowaniu decyduje sąd, wydając postanowienie na wniosek prokuratora. Wniosek prokuratora o areszt musi poprzedzić przedstawienie zarzutów podejrzanemu. W posiedzeniu ma prawo i powinien uczestniczyć podejrzany, którego sąd przesłuchuje. W postępowaniu ma prawo uczestniczyć obrońca, jednakże jest on z urzędu informowany o terminie posiedzenia przez sąd, dlatego podejrzany powinien żądać jego obecności.

W praktyce bardzo rzadko się zdarza, aby sąd nie uwzględnił prokuratorskiego wniosku o zastosowanie aresztowania. Na postanowienie sądu rejonowego przysługuje zażalenie (w terminie 7 dni), które można skierować do sądu okręgowego za pośrednictwem sądu, który wydał postanowienie o stosowaniu aresztu.

W miarę możliwości należy jak najszybciej skontaktować się z adwokatem, który może okazać się bardzo pomocny w postępowaniu w przedmiocie tymczasowego aresztowania, w szczególności podczas posiedzenia sądu rozpatrującego wniosek prokuratora oraz w przygotowaniu zażalenia na postanowienie o zatrzymaniu.

Co istotne, tymczasowe aresztowanie może być zastosowane na okres 3 miesięcy. Do jego przedłużenia niezbędny jest nowy wniosek prokuratora i postanowienie sądu, które również podlega zaskarżeniu.

Representing clients in litigation

Our lawyers appear in proceedings on behalf of the client, based on a power of attorney.
In cases before courts and other institutions, clients may be represented by legal advisers or advocates. In the case of defence counsel in criminal cases and fiscal criminal cases, the defendant may be represented only by an advocate. In certain proceedings—particularly before the Supreme Court of Poland or the Supreme Administrative Court—the client must be represented by an advocate or legal adviser.

Criminal proceedings

Criminal cases involve a number of procedures, some before the court and some outside of court, aimed at determining the facts and reaching a decision in a case where a crime may have been committed.
Our lawyers represent crime victims, suspects and criminal defendants. Our goal when representing the injured party is to identify the perpetrator and see that he or she is duly punished and makes amends for the harm caused to the victim. When we represent a person suspected or accused of committing a crime, our role is to defend his or her rights throughout the process. The purpose of criminal defence is to obtain an acquittal if the accused is not guilty of the offence, or if he or she is found guilty, to assure that the punishment is not excessive in light of the harmfulness of the offence.

Fiscal criminal proceedings

Fiscal criminal proceedings involve serious or minor offences against the financial interests of the state. The proceedings are conducted by fiscal law enforcement authorities, primarily tax offices.
The multiplicity and ambiguity of tax regulations can give rise to various errors by taxpayers. The tax authorities may take advantage of this by pursuing criminal charges unwarranted by the degree of fault on the taxpayer’s part, or to set an example to deter others. This sometimes happens even though the Fiscal Penal Code provides that there is no offence if the harm to society from the act is negligible or the taxpayer did not act with criminal intent. In fiscal criminal cases, the task of the advocate is to verify whether the authorities have acted lawfully and that the taxpayer is not punished for actions taken in good faith and without culpability.

Division of assets

Assets may be divided in two ways: by agreement or by court order.
An agreement on division of assets may be made in any form, except that if real estate is involved the agreement must be in the form of notarial deed. A judicial division of assets may be made in a divorce decree or in a separate proceeding. The parties may divide all or part of their joint assets by agreement, but a judicial division must cover all of the assets. An application for division of assets bears a court fee of PLN 1,000, but if the parties present an agreed proposal the fee is reduced to PLN 300.

Dissolution of joint ownership

Any co-owner of property may seek to dissolve the joint ownership. This may be done by agreement or through a court order.
In a judicial proceeding, property may be divided in any of three ways: physical division of the property, awarding the entire property to one of the co-owners, or sale of the property. An application for dissolution of joint ownership bears a court fee of PLN 1,000, or PLN 300 if an agreed proposal is presented. There is no statute of limitations on claims for dissolution of joint ownership.

Polish and international commercial contracts

In our commercial contract services, we draft contracts securing the interests of the client and assuring compliance with applicable regulations.
We also review and comment on draft contracts presented by the client, identifying potential threats to the client’s interests and advising on the optimal contractual solutions and provisions. The firm also actively advises clients at the stage of contract performance, and assists clients in pursuing contractual claims.

Social insurance and employment law

Employment law includes the Labour Code and other statutes and executive regulations defining the rights and obligations of employers and employees, as well as matters governed by collective labour arrangements and workplace regulations.
Under Art. 67 of the Polish Constitution, a citizen has a right to social security if he or she is unable to work due to illness or disability or has reached retirement age. This right is realized through payment of social insurance benefits. The law firm’s practice in the area of employment and social insurance law covers both individual and collective employment law matters. Our lawyers advise clients in this area on an ongoing basis, representing clients in disputes with employees and labour authorities, and drafting employment-related internal regulations and legal documentation, including employment contracts.

Comprehensive legal analysis

Comprehensive legal analyses are conducted for the purpose of carrying out ventures, projects, or development of enterprises.
Legal issues, rules, regulations and case law are analyzed with particular attention to the purpose for which the analysis is prepared. Legal issues and their direct impact on the venture in question are both analyzed. Processes and undertakings can then be adapted to comply with the applicable law. Potential threats or restrictions on the project can also be identified.

Advice on commercialization and privatization

In Poland, commercialization is a process in which a state enterprise is converted into a commercial company, as a prelude to privatization.
Privatization is a process in which the Polish State Treasury disposes of assets it holds, for example by selling shares it holds in commercialized companies, by selling all of the tangible and intangible assets of an enterprise to a company, or by leasing the enterprise to private users for a fee.

Listing companies on the capital market

Joint-stock companies obtain access to the capital market by issuing and listing debt and equity securities.
This typically involves preparation of a prospectus and dematerialization of the company’s financial instruments. The basic function of the capital market is to enable companies to obtain financing to develop their business. In Poland, based on the legal and formal organization of the market, the capital market may be divided into the public market and the non-public market. On the public market, there are currently two companies operating organized trading in securities: Giełda Papierów Wartościowych w Warszawie S.A. (the Warsaw Stock Exchange) and BondSpot S.A. (alternative market).

Corporate reorganizations

Corporate forms may undergo reorganization when a limited-liability company (sp. z o.o.) is converted into a joint-stock company (S.A.), or vice versa, when a new company is spun off from one or more existing companies, or when two or more companies are joined to form one company.
These issues are governed by the Commercial Companies Code. Reorganization of corporate forms entails a number of actions, such as drafting of the new corporate charter and valuation of the assets involved. Under Polish law, such reorganizations may be divided into several types: conversion, merger and division, which are applicable to capital companies. Polish law also provides for the possibility of cross-border merger of companies, in which a foreign company merges with a Polish company.

Regulation of the legal status of real estate

Proceedings to regulate the legal status of real estate most often are aimed at establishing a land and mortgage register for the property at the district court.
Such proceedings may also involve amending the land and mortgage register to reflect legal events affecting the property (such as sale, partition or inheritance). It may also be necessary to reform the register to reflect the actual legal status of the property when the information in the register is inaccurate.

Concession and permit proceedings

In Poland, before performing certain types of business it may be necessary for the entity to obtain a concession or permit, issued by the competent state authorities.
The types of operations requiring a concession or permit, who is eligible to apply for one, and the procedure for issuance, amendment or loss of a concession or permit are set forth in the Business Freedom Act.

Public procurement proceedings

One of the law firm’s areas of specialization is public tenders under mandatory or optional procedures.
We assist our clients in tenders covered by the Public Procurement Law as well as well as public contracts not subject to the procurement regime. We advise contractors on interpretation of contract notices and terms of reference and on the legal recourse available to them. We also advise contracting authorities on preparation of the tender documentation. We offer legal assistance covering not only the entire period of the procurement procedure, but also in any related litigation. We provide opinions on the compliance of tenders with the legal requirements, and if irregularities are found we advise on the available legal measures.

Prospectuses (legal audit)

Continuing the firm’s long practice in this area, we prepare legal audits for clients in such industries as energy, construction and agro-food, including the legal sections of prospectuses.
We provide legal support for listing of securities on the regulated market and the alternative market. We advise at the stage of listing the company on the stock exchange and at the stage of establishing and reorganizing corporate entities. We have experience in providing legal support on the capital market to both public and private clients. We also prepare due diligence reports in order to evaluate the legal condition of companies, projects and assets, including real estate.

Mergers and acquisitions

Under the Commercial Companies Code , companies may undergo numerous procedures such as conversion, division and merger.
Mergers and acquisitions are designed to adapt corporate structures to the existing market realities. Mergers are a tool for significantly strengthening the market position of companies, stabilizing their financial condition and enabling them to access new customers and new markets. The law firm provides full legal support for these procedures, drafting the transaction documentation, representing the client before the competent authorities, and providing ongoing advice during the process.

Legal audit for privatization

Privatization is a process in which assets held by the State Treasury are turned over to private hands.
Following the transformation to a free-market economy in Poland, there are still many state-controlled companies undergoing privatization. In order to meet the needs of the privatization process, the law firm conducts legal audits and prepares a complete legal report on the enterprise. The report from the legal audit provides detailed information about the legal status of the company and enables privatization to be conducted smoothly and securely.

Real estate transactions and development

The law firm advises clients on the full range of matters related to real estate.
We evaluate the legal status of real estate, and draft and advise on agreements for sale, lease, tenancy and construction. We assist in obtaining permits required for development of real estate. We conduct judicial and administrative proceedings related to real estate and advise on establishment of encumbrances on real estate.

Incorporation of individual businesses

When an individual operating a sole proprietorship decides to incorporate the business, there is a choice between forming a single-shareholder limited-liability company (sp. z o.o.) or a single-shareholder joint-stock company (S.A.)
The incorporation procedure involves transfer of the existing enterprise operated by the individual to a newly created or existing company as an in-kind contribution, or sale of the enterprise to an existing company. The latter procedure is combined with liquidation of the sole proprietorship.

Negotiations

The purpose of negotiations is to reach agreement in situations where there are conflicting interests or a difference of opinion.
From a legal point of view, when conducting negotiations we seek to obtain the most favourable possible outcome for the client under the given factual and legal circumstances. Based on the work of the Harvard Negotiation Project, three different paradigms for negotiations have been identified: “hard,” “soft” and “mixed” (hard on the issue but easy on the people). In the law, there is growing support for alternative dispute resolution within the institutional context of judicial proceedings, in the form of mediation or conciliation—processes designed to help the parties reach a mutually satisfactory agreement.

Piotr Włodawiec is a graduate of the Faculty of Law and Administration of the University of Warsaw and completed postgraduate studies in capital markets law. He is admitted to practice as a legal adviser.

An expert in civil law, commercial law, employment law and agricultural law, he specializes in ongoing legal services for commercial entities, particularly in agri-food and education. He has extensive experience cooperating with corporate boards and senior management. Polsus—the Polish Pig Breeders and Producers Association—is a self-governing trade organization founded in 1958. It now operates through 19 regional organizations throughout the country. Its activities include:

  • Establishing producer groups with contractual ties to slaughterhouses, feed plants and distributors
  • Improving breeding stock by using proper methods of animal selection, mating and crossbreeding, and by creating breeding programs
  • Raising the awareness among pig producers of rational breeding methods and improving the profitability of pig farms

Sokołów S.A. is a company based in the town of Sokołów Podlaski. It currently has seven production plants, situated in Sokołów Podlaski, Koło, Robakowo, Dębica, Czyżew, Jarosław and Tarnów. Three of the branches (in Sokołów Podlaski, Robakowo and Jarosław) are engaged in pig slaughtering and processing. The Koło and Tarnów branches carry out cattle slaughtering, while those in Czyżew and Dębica are engaged exclusively in processing.

The company’s branches are licensed to export to the United States, the European Union, Korea, Russia, Ukraine, Kazakhstan, Japan, the United Arab Emirates and other countries. The company operates in the most modern facilities in Poland. Its production lines make it possible to produce a wide range of products, aimed at different categories of customers, both domestic and foreign. Sokołów S.A. produces around 22,000 tonnes of meat and meat products every month. Używanie pochodni przez uczestników zgromadzenia publicznego jest legalne.

Klient naszej Kancelarii został obwiniony o to, że przewodnicząc zgromadzeniu, umyślnie nie zażądał opuszczenia tego zgromadzenia przez osoby niosące zapalone pochodnie, tj. o czyn z art. 13a w związku z art. 10 ust. 4 Prawa o zgromadzeniach. Dnia 22 kwietnia 2014 roku został wydany w tej sprawie wyrok skazujący go na grzywnę, jednak Obwiniony wniósł od niego sprzeciw i sprawa została skierowana do rozpoznania na zasadach ogólnych. W dniu 8 lipca 2014 roku Sąd Rejonowy dla Warszawy – Śródmieścia uniewinnił naszego Klienta. W ustnym uzasadnieniu rozstrzygnięcia Sąd podkreślił, że pochodnia nie jest przedmiotem niebezpiecznym, materiałem wybuchowym ani wyrobem pirotechnicznym. Samo niesienie pochodni na zgromadzeniu publicznym nie stwarza bezpośredniego niebezpieczeństwa dla zdrowia czy mienia, jeżeli są one odpowiednio zabezpieczone przed spowodowaniem pożaru czy oparzeń u osób znajdujących się w pobliżu. Oznacza to, że niesienie zapalonych pochodni na zgromadzeniach publicznych jest legalne. Policja nie wniosła apelacji od tego wyroku, obecnie jest on już prawomocny. Z upoważnienia adwokata Łukasza Moczydłowskiego obronę w tej sprawie poprowadził aplikant adwokacki Mateusz Korteweg.

Uchylenie decyzji Wojewody Mazowieckiego w sprawie rozwiązania Marszu Niepodległości.

Wyrokiem z dnia 21 maja 2014 r. Wojewódzki Sąd Administracyjny w Warszawie uwzględnił skargę wniesioną w imieniu Stowarzyszenia Marsz Niepodległości i uchylił decyzję Wojewody Mazowieckiego utrzymującą w mocy decyzję Prezydenta Miasta Stołecznego Warszawy dotyczącą rozwiązania zgromadzenia publicznego - Marsz Niepodległości w dniu 11 listopada 2013 r. Jak wskazał w swoim uzasadnieniu Wojewódzki Sąd Administracyjny Wojewoda Mazowiecki rozpoznając odwołanie Stowarzyszenia Marsz Niepodległości dopuścił się szeregu naruszeń procedury administracyjnej, co skutkowało uchyleniem jego decyzji.

Amendment to partnership agreement and new official name for the law firm

On 25 January 2012 the partners at the law firm amended the partnership agreement. As a result, the official name of the law firm has been changed to Choina Makuliński Moczydłowski Rostafiński Włodawiec Kancelaria Radców Prawnych i Adwokatów Prokurent Sp.p. We will continue to operate under the shorter name Prokurent. The change in the partnership agreement was connected with a change in the members of the partnership.

Mergers and acquisitions

From the beginning of the law firm’s existence, as economic opportunities arose in Poland as a result of the transformation from communism to a free-market democracy, our law firm has actively participated in numerous procedures connected with privatization, reorganization and merger of enterprises, and has also acted as legal advisers in the public offering of shares and bonds.

The lawyers from our firm have provided legal support for merger procedures, including the following services for all the merging companies:

Success in litigation against Geberit sp. z o.o.

We are pleased to announce the successful completion of litigation brought by our client Cezary Szafarz against Geberit sp. z o.o. seeking damages for unlawful termination of his employment, overtime pay and annual bonus.

Establishment and development of the firm

The Prokurent law firm was established in 1989 in Warsaw. The founders, who developed and strengthened the firm’s position over a number of years, were Marta Kmieciak (legal adviser and advocate, former judge of the Supreme Court of Poland and lower courts, specialist in the law of finance and capital markets) and Grzegorz Choina (legal adviser and advocate, for many years a state court judge, specializing in commercial law and securities law).

Initially the firm operated as an ordinary partnership under the name Kancelaria Prawnicza “Prokurent.” From January 2007 it operated as a commercial partnership, and currently it is a professional partnership under the full name Makuliński Moczydłowski Rostafiński Włodawiec Kancelaria Radców Prawnych i Adwokatów Prokurent Sp.p.

Our lawyers successfully defend Bank Handlowy w Warszawie S.A.

On 10 August 2010, the Warsaw Court of Appeal announced its judgment in a case brought by the Polish State Treasury against Bank Handlowy w Warszawie S.A., represented by our law firm, seeking payment of contractual penalties.

Following a proceeding that took over 5 years, our lawyers obtained a final judgment denying the entire claim, in which the State Treasury sought millions of zloty in connection with the bank’s performance of investment agreements. The court found that the bank had acted properly, fully upholding the reasoning presented by Jan Rostafiński and Andrzej Makuliński, the partners at our law firm who represented the client in the case.

Ewelina Łęczycka

Advocate trainee

Ewelina Łęczycka has been affiliated with Prokurent since 2012. Previously she gained experience in other Warsaw law firms and at the Białystok Regional Court. She handles civil law matters, particularly issues involving residential cooperatives. She is interested in methods of alternative dispute resolution.

She is a graduate of the Faculty of Law and Administration of Stefan Cardinal Wyszyński University in Warsaw and is currently an advocate trainee at the Warsaw Regional Bar Council.

Completion of M&A transaction

Marcin Winter

Intern / Student

Marcin Winter is an intern at Prokurent. He is a 5th-year student at the Faculty of Law and Administration of the University of Warsaw and also a student at the Faculty of Theology of Adam Mickiewicz University in Poznań. He is particularly interested in issues of tax law and administrative law, including issues concerning construction materials.

His private fascination is skiing. He is an instructor of downhill skiing, certified by the Association of Skiing Instructors and Coaches of the Polish Skiing Association, as well as an assistant instructor of the Polish Skiing Association.

In the 8th annual Ranking of Law Firms in Poland published by Rzeczpospolita daily on 11 May 2010, our law firm was ranked 112th by the number of qualified lawyers (advocates and legal advisers). In the second ranking, based on the total number of lawyers working at the firm, our firm was ranked 215th. Our position has gone up from the 2009 ranking.

Andrzej Rajchel

Legal Adviser Trainee

Andrzej Rajchel – has worked with Prokurent from 2013. He specializes in economical law, real estate trade law and also in problems connected with the leasing contracts. He has experience in handling corporate companies, consulting in the field of purchase and sale of real estate, movable fixed asstets of large value and also in the fied of law issues connected with the use of leased assets. He has negotiated agreements relating to the above and supported proprietary business processes related to the implementation of the leasing contracts . He also gained experience in due diligence and purchase and sell transactions of real estates and movable fixed asstets of large value. He reprezented the employer during purchase and sell transactions, and reprezented the interest of the employer during court disputes related to the mentioned transactions and to other connected legal relations. He also has experience in the preparation of analyses of the legal risks that may arise in connection with planned transactions and business projects . Within the framework of his professional practice, he also gained experience in legal suppport to processes connected with commercialisation and management of commercial objects. In addition, as an employee of the mortgage banking industry, won a unique for lawyer knowledge and experience in this business area.
